These Terms of Service ("Terms") govern your access to and use of the website and services provided by Avola Ai LLC, a Wyoming Limited Liability Company operating under the trade name Bookd Media ("Company," "we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

Bookd Media provides performance-based lead generation and appointment setting services for contractors and home service businesses. Specific service terms, deliverables, pricing, and quality standards are governed by individual service agreements entered into between the Company and each client.

2. Eligibility

You must be at least 18 years of age and have the legal authority to enter into binding agreements on behalf of yourself or your business to use our services. By using our services, you represent and warrant that you meet these requirements.

3. No Guarantee of Results

While we strive to deliver high-quality leads and appointments, Bookd Media makes no guarantee of specific results, revenue, close rates, or return on investment. Results will vary based on factors including but not limited to trade type, geographic market, your team's responsiveness, close rate, pricing, and market conditions. References to results achieved by other clients are illustrative only and do not constitute a guarantee of similar performance.

4. Payment Terms

Payment terms are specified in your individual service agreement. You agree to pay all fees as outlined in your agreement. Failure to pay may result in suspension or termination of services. All fees are non-refundable except as expressly stated in your service agreement or our lead replacement policy.

5. Lead Replacement Policy

If a delivered lead or appointment does not meet the qualification standards outlined in your service agreement, you may submit a dispute within the timeframe specified in your agreement. Valid disputes will be reviewed and, if approved, replaced with a qualifying lead or appointment at no additional charge. Disputes submitted outside the specified timeframe may not be eligible for replacement.

6. Exclusivity

Market exclusivity is granted on a per-trade, per-geographic-area basis as specified in your service agreement. Exclusivity is contingent on maintaining an active service agreement in good standing. Bookd Media reserves the right to reassign exclusivity if a client's agreement lapses or is terminated.

All content on this website, including text, graphics, logos, and software, is the property of Avola Ai LLC or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

To the maximum extent permitted by applicable law, Bookd Media and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, or lost business opportunities, arising from your use of our services, even if we have been advised of the possibility of such damages. Our total liability to you for any claims arising from these Terms or your use of our services shall not exceed the total fees paid by you to us in the three (3) months preceding the claim.

You agree to indemnify, defend, and hold harmless Bookd Media and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of our services or violation of these Terms.

11. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Wyoming, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in Wyoming, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last updated" date. Your continued use of our services after any changes constitutes your acceptance of the updated Terms.

13. Termination

Either party may terminate a service agreement as specified therein. We reserve the right to terminate or suspend your access to our services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

14. Entire Agreement

These Terms, together with any applicable service agreement and our Privacy Policy, constitute the entire agreement between you and Bookd Media regarding your use of our services and supersede all prior agreements and understandings.
